Welcome to SeedCloud, a hosting service provided by Seed Technologies LTD (Company Registration: 14475026). By using our services, you agree to comply with these Terms of Service. If you do not agree, please discontinue use immediately.
1. General Terms
These Terms of Service ("TOS") govern all services provided by SeedCloud ("we," "us," or "our"). By accessing or using our services, you ("the client," "user," or "customer") agree to comply with and be bound by these TOS.
We reserve the right to modify these terms at any time. Any changes will be effective immediately upon posting on our website. It is your responsibility to review the TOS regularly to ensure you are aware of any modifications. Continued use of our services after such changes constitutes your acceptance of the new terms.
If you do not agree to these TOS, please discontinue use of our services immediately.
2. Acceptable Use Policy
Users must comply with all applicable laws and regulations. Prohibited activities include, but are not limited to:
Hosting illegal content, including but not limited to child exploitation materials, copyrighted content without proper authorization, or any material that violates applicable laws.
Engaging in spam distribution, phishing attacks, fraudulent schemes, or any other deceptive practices.
Initiating Distributed Denial-of-Service (DDoS) attacks, hacking attempts, or any other form of network abuse.
Hosting, distributing, or facilitating malware, viruses, ransomware, or any malicious software.
Reselling or sublicensing our services without prior written approval.
Engaging in activities that disrupt, harm, or interfere with the integrity or performance of our network, infrastructure, or other clients' services.
Failure to comply with this Acceptable Use Policy may result in service suspension or termination without prior notice.
3. Service Availability & Liability
We provide services on an "as-is" and "as-available" basis, without any express or implied warranties. While we strive to maintain a high level of service uptime, we do not guarantee uninterrupted or error-free service availability.
SeedCloud is not responsible for any direct, indirect, incidental, or consequential damages arising from the use of or inability to use our services. This includes, but is not limited to, data loss, business interruption, or financial losses.
Users acknowledge that service downtime may occur due to maintenance, upgrades, technical issues, or external factors beyond our control. We will make reasonable efforts to notify users in advance of planned maintenance when possible.
4. Payment & Billing
All services operate on a prepaid basis. Payments must be made in full before service activation or renewal. Failure to complete payment by the due date will result in service suspension, and continued non-payment may lead to termination.
SeedCloud reserves the right to modify pricing, payment terms, and billing cycles at its discretion. Any changes will be communicated in advance, and continued use of the service constitutes acceptance of the new terms.
Refunds are provided solely at our discretion and are subject to our refund policy, if applicable.
4.1 Late Payments
Invoices not settled by the due date will incur a 10% late fee. This fee will be applied automatically and must be paid in full before service restoration.
Services will be suspended within 24 hours of an overdue payment. During suspension, access to the service will be restricted until payment is made.
After 7 days of non-payment, services will be permanently terminated, and all associated data will be irreversibly deleted. SeedCloud is not responsible for any data loss resulting from non-payment.
5. Refund Policy
Due to the nature of digital services, all payments are non-refundable. Refunds will only be considered in cases where a billing error or service failure is directly caused by SeedCloud.
Requests for refunds must be submitted in writing within 7 days of the billing issue. Approved refunds will be processed within 14 business days.
SeedCloud is not responsible for user-initiated service cancellations, unused portions of prepaid services, or circumstances beyond our control.
6. Affiliate Program
SeedCloud offers a commission-based affiliate program, providing a 10% referral commission on successful referrals.
Affiliate earnings can be withdrawn once the balance exceeds $5, provided the affiliate has an active service with SeedCloud.
SeedCloud reserves the right to modify or terminate the affiliate program at any time. Abuse of the affiliate program, including fraudulent referrals, will result in immediate disqualification and forfeiture of commissions.
7. Service Termination
SeedCloud reserves the right to suspend or terminate services at any time if a user violates our Terms of Service, engages in prohibited activities, or poses a risk to our network integrity.
Users may cancel their services at any time; however, no refunds will be issued for unused service periods.
Upon termination, all associated data will be permanently deleted, and SeedCloud will not be responsible for any data recovery.
8. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom and the Netherlands, where applicable.
Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom and the Netherlands, depending on the relevant legal framework.

10. Limitation of Liability & Indemnification
SeedCloud shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use of our services.
Users agree to indemnify and hold SeedCloud harmless from any claims, damages, or expenses arising from violations of these Terms.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of the updated Terms.
12. Dispute Resolution
In the event of a dispute, parties agree to attempt resolution through mediation before pursuing legal action. Any unresolved disputes shall be subject to the governing law jurisdiction.
13. Fair Usage Policy (FUP)
The Fair Usage Policy (FUP) ensures that all customers receive high-quality and reliable services. This policy applies to all shared resources, including but not limited to bandwidth, CPU, RAM, disk space, and network usage.
13.1 General Principles
SeedCloud services are designed to provide a stable hosting environment for all users. We do not impose strict limits on bandwidth and resources unless excessive usage impacts overall system performance.
13.2 Bandwidth and Traffic Limits
SeedCloud does not enforce fixed bandwidth caps; however, accounts generating excessive or abusive traffic may be subject to restrictions.
Short bursts over the allocated bandwidth are allowed. However, continuous overuse may lead to service suspension or upgrade recommendations.
If excessive bandwidth consumption is detected, we will notify the customer and request optimization. Failure to comply may result in speed throttling or suspension.
13.3 CPU, RAM, and Storage Usage
Customers must ensure their applications do not consume excessive CPU, memory, or disk I/O, affecting server performance for other users.
SeedCloud reserves the right to limit CPU and memory consumption for shared hosting customers to maintain service stability.
Excessive read/write operations on storage that degrade disk performance may lead to resource allocation adjustments or migration recommendations.
13.4 Unacceptable Usage
The following activities violate our Fair Usage Policy and may result in immediate service suspension:
Running resource-intensive applications that degrade server performance.
Continuous high CPU or RAM consumption without prior approval.
Hosting public file-sharing, video streaming, or download portals without a dedicated plan.
Mining cryptocurrencies on any SeedCloud hosting service.
Sending bulk emails or spamming without dedicated email services.
13.5 Enforcement
If a customer's usage exceeds fair limits and disrupts service quality for others, we will take the following steps:
Issue an initial warning with recommendations to optimize usage.
Temporarily restrict resources if the issue persists.
Recommend a plan upgrade or migration to a dedicated server.
Suspend or terminate services in severe cases.
13.6 Exemptions
Customers on dedicated servers, enterprise plans, or custom agreements are subject to different fair usage rules, as defined in their service contracts.
13.7 Policy Updates
SeedCloud reserves the right to modify this Fair Usage Policy at any time. Customers will be notified of significant changes affecting their usage.
